Job Summary

The Senior Compliance Counsel is responsible for supporting the Company’s ethics, compliance, and labor & employment programs.  The Senior Compliance Counsel will work closely with the SVP, Deputy General Counsel, and Chief Ethics & Compliance Officer and VP, and Associate General Counsel Ethics & Compliance on a variety of ethics, compliance, and labor & employment matters, including policy development, training, day-to-day business guidance, and ethics and compliance investigations.

 

Education

Bachelor’s Degree and a J.D. (Doctor of Jurisprudence) degree from an accredited law school.

CCEP (Certified Compliance & Ethics Professional) certification, is a plus.

 

Experience

  • Six plus years of ethics and compliance and/or labor and employment experience at a law firm or as in-house counsel and must be eligible to practice in at least one state in the United States, preferably Texas
  • Experience managing and conducting internal investigations is a plus
  • Experience in energy and utilities, including with gas and electric transmission, and distribution work, is a plus

 

Essential Functions

  • Supports and participates in the development of the Company’s comprehensive ethics, business conduct, compliance, and labor and employment functions under the direction of leadership.
  • Supports the operation of ethics, compliance, and labor and employment solutions within the business.
  • Supports the ethics and compliance function’s response to the Company-wide confidential concerns reporting HelpLine.
  • Independently conducts investigations of alleged violations of the Company’s ethical standards, and compliance with applicable laws, regulations, and corporate policies. 
  • Drives adoption of standards of conduct and ethical relationships with customers, contractors, suppliers, employees, stakeholders, and the communities in which the organization operates.
  • Provides timely and practical legal advice on the interpretation of the Company’s Ethics & Compliance Code and associated policies.
  • Provides input for, and supports timely assessments and updates on ethics, compliance, and labor and employment matters to internal stakeholders, management committees, and other senior management.
  • Supports ethics and compliance risk assessments and audits of the ethics and compliance function.
  • Develops and supports the launch and implementation of ethics, business conduct, and compliance training and communication.
  • Stays abreast of relevant pending regulatory developments at the federal and state levels through reference sources and advises relevant members of management regarding such developments.
  • Supports ethics and compliance focus groups and other in-person outreach activities.
  • Supports coordination and oversight of the Company’s annual conflict of interest questionnaire.
  • Collaborates with colleagues internally, and with outside counsel as needed, to deliver on any of the above.
  • Demonstrates a commitment to compliance with applicable laws and regulations, the Company’s Ethics & Compliance Code, and other Company policies and procedures, and takes all required training courses.
  • Demonstrates commitment to and supports others in understanding and living out the Company’s core values and business practices.
  • Navigates a wide range of sensitive and confidential matters with the highest level of integrity and confidentiality.
  • Handles other related ethics, compliance, and labor and employment responsibilities as assigned.
