Job Summary:

The CenterPoint Energy legal department is looking for a corporate attorney with 2 to 5 years of experience with a background with securities, financing and strategic and merger and acquisition transactions.  Experience with renewables generation transactions would be a plus.  

    
Essential Functions: 

Primarily provide legal advice on and support for:
Strategic corporate and mergers and acquisitions matters and transactions
Public and private debt and equity offerings, commercial paper, credit agreements, letters of credit and other corporate treasury matters 
Hedging and derivatives matters
Also provide legal advice on and support for:
Securities laws and public company disclosure matters (Securities Act and Exchange Act), including filings with the U.S. Securities and Exchange Commission (e.g. Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, and Current Reports on Form 8-K) and other disclosure issues
Public company corporate governance matters, corporate governance documents, and compliance with stock exchange listing requirements
Complex commercial transactions, as needed
Demonstrating an ability to collaborate across functional groups in the company outside of the legal department
Influencing and providing timely and effective legal and business advice and support at all organizational levels on complex transactions
Participating in mandatory emergency operations plan procedures

Basic Qualifications:

Education:  

Bachelor’s degree and a J.D. (Doctor of Jurisprudence) degree required from an accredited law school. 

Experience:

2 – 5 years of corporate experience at a large law firm and/or as in-house counsel. Must be eligible to practice in at least one state in the United States, preferably Texas. 
Experience with matters relating to securities, finance and credit agreements, capital markets, strategic transactions, mergers and acquisitions, financial reporting, corporate governance and complex commercial transactions preferred.
Experience in energy and utilities, including electric generation, transmission and distribution, and natural gas distribution, is a plus.
Experience in renewables generation transactions such as build-transfer agreements and power purchase agreements, is a plus.
